Please read these Terms of Service carefully before using Conclude AS’ websites and software (“Services”).
Your access to and use of Conclude’s Services is conditional on your acceptance and compliance with these Terms. These Terms apply to all website visitors and users who use the Services. By accessing or using the Services, you agree to be bound by these Terms.
If you disagree with any part of these terms, you may not access the Services.
1. Background
These Terms of Service constitute an agreement (“Agreement”) between Conclude AS, a Norwegian company with business registration number 913 509 161 (referred to as “Conclude AS”, “Conclude”, “us”, or “we”), and you, an individual aged 16 or older who accesses or uses our Services (referred to as “you” or “User”). Automated accounts registered by “bots” are not allowed.
Conclude offers a collaboration application platform for businesses, delivered as a subscription-based Software-as-a-Service.
This Agreement governs your access and use of Conclude’s Services available on conclude.io and other associated websites (“Websites”). This includes the use of Conclude’s application for Conclude Apps and Conclude Link solutions which are designed for the seamless integration of chats and tickets across Slack, Microsoft Teams, Zendesk and Jira for better collaboration. The agreement also covers any content, services, support, or documentation provided to you, whether you’re using the services as an individual user or as a representative of a company.
By signing an Order Confirmation or clicking “Sign In” or similar within the Services, you enter into this Agreement on behalf of a company (Customer). By doing so, you affirm that you are legally able to enter into agreements (i.e., not a minor) and that you consent to this Agreement, including our Privacy Policy, Cookie Policy, and Data Processor Agreement.
Your continued use of the Services signifies your acceptance of this Agreement. We may occasionally review and update this Agreement at our discretion. If a revision is significant, we will attempt to notify you through our website or by email, when new terms take effect. What constitutes a significant change will be determined at our sole discretion. By continuing to use the Services, you agree to any potential modifications to this Agreement.
The content and information included in these Services are provided by us, our affiliates, subcontractors, business partners, other users, and third-party suppliers, and are made available subject to this Agreement. If there is any conflict between this Agreement and any other agreement you may have with Conclude, this Agreement prevails.
2. Right to Use the Services
By agreeing to this Agreement, you are granted a non-exclusive right to use our Services in accordance with applicable law, this Agreement, our Privacy Policy, our Cookie Policy, and any potential Order Confirmation between you and Conclude AS.
3. Service Description
Conclude provides Customers with innovative solutions designed to enhance collaboration and communication: Conclude Apps and Conclude Link.
Conclude Apps are no-code applications that can be installed in Slack and Microsoft Teams. These apps assist Customers with various collaboration activities, including but not limited to incident management, issue tracking, support tickets, bug tracking, and more. Conclude Apps installed in Slack can be integrated with Jira and Zendesk to streamline workflows further.
Conclude offers Customers app templates (“Templates”) that are generic implementations of collaboration activities. Customers may use and modify these Templates to create Conclude Apps tailored for their specific collaboration needs. An “Activity” refers to a single instance of a workflow or task, such as an incident entered into Conclude, a bug report, or a service desk ticket. Customers can execute Conclude Apps from Slack, Microsoft Teams, or our websites to create new collaboration activities or modify existing ones.
Conclude Apps can also be installed in shared customer channels on Slack, enabling teams to manage external requests, open tickets and streamline communication with external stakeholders ensuring that support and service requests are handled efficiently.
Conclude Link bridges the collaboration gap between Slack and Microsoft Teams. This solution enables seamless integration and real-time synchronization between specific channels on both platforms. Conclude Link ensures that messages and updates are synchronized in real-time, eliminating information silos and facilitating unified and efficient collaboration across various teams. This enhances productivity and collaboration, allowing users to communicate and collaborate effectively regardless of their preferred platform.
Currently, Conclude provides three different service plans to our Customers: “Conclude Starter”, “Conclude Pro”, and “Conclude Enterprise”. The Conclude Starter plan is designed for teams of up to 10 users. In the future, we may offer a different selection of service plans.
We also have a Free Plan, which is limited to early-stage startups and non-commercial use by educational institutions. Conclude Starter and Conclude Pro offer a free 14-day trial for evaluating Conclude. Conclude Enterprise provides a tailored package with exclusive features not found in other plans.
As we continually update and develop our service offerings, these features will vary in the future. For more details, please contact us.
4. New Versions of the Service
We continuously update our Services, and Conclude may change the Services provided at any time, including adding or removing features and functionality.
For our Paid Services (Conclude Starter, Conclude Pro and Conclude Enterprise), we will not make changes that materially reduce the value or functionality provided to you. For our Free Service (the Free Plan or other free Services), we may make changes that materially increase or decrease the functionality provided to you. New versions of the Services are made available to you based on your Service Plan when new releases become publicly available. We may release updates to specific user segments to test new features before making them available to all users.
New modules, features, or additional Services not included in the descriptions of existing service offerings may be offered to Customers and Users as separate Service offerings and charged separately, unless otherwise specified.
We may choose to offer additional modules, features, or services to our Customers that are not part of the paid plan, which will be charged separately.
5. Pricing, Payments and Termination
Pricing and payment details for Conclude Starter, Conclude Pro and Conclude Enterprise are governed by a separate Order Confirmation. Our Free Plan is provided at no cost, as long as your team complies with the Free Plan requirements. For more information, see our Pricing page.
Subscription prices for Conclude Starter, Conclude Pro and Conclude Enterprise are based on the number of Active Users within a rolling 90-day window.
In the context of Conclude Apps, the definition of an Active User varies depending on the selected App mode:
Channel Mode: when the App mode is set to Channel, each new activity generates a dedicated activity channel. An Active User is defined as someone who installs or modifies the Conclude App, is a member of a dedicated activity channel where Conclude is invited, or participates in a Conclude Activity by writing comments or modifying attributes. Members of the primary channel where the app is installed are not considered Active Users unless they engage in these specific activities.
Thread Mode: when the App mode is set to Thread, each new activity generates a dedicated activity thread within the primary channel. An Active User is defined as someone who installs or modifies the Conclude App, is a member of the primary channel where Conclude is installed, or participates in a Conclude Activity by writing comments or modifying attributes.
In the context of Conclude Apps for external connections (formerly Conclude Connect), an Active User is defined as an internal team member who participates in any channels connected to external people or teams, interacts with external people or teams, is assigned tickets, or collaborates with the ticket issuer or team to resolve it.
In the context of Conclude Link, the definition of an Active User depends on the use case:
Internal connections: an Active User is someone who creates or modifies links between tools, actively engages in linked channels, participates in conversations within those channels, or takes part in direct chats between internal Slack and Microsoft Teams environments (beyond just reading). Users are counted only once, even if they participate in multiple connections.
External connections: the definition of an Active User is the same as for internal connections. External Users do not count as Active Users.
External User definition: an External User is an individual outside your company who has been invited to participate in an external connection.
Conclude calculates and displays the number of Active Users for Conclude Pro on the Conclude Home Dashboard page in your team’s Slack workspace and in the Admin settings of its Dashboard for both, Conclude Starter and Conclude Pro.
We may charge for additional services outside the regular scope of our Services. Such arrangements require a separate agreement and are not governed by these Terms.
Please note that our service does not offer refunds, unless specified in section #7. Upon subscribing to our software service, you are responsible for paying the subscription fee for the duration of your subscription. You can use our service for free for 14 days before payment to evaluate our software service.
6. Audit
Conclude may periodically audit your use of the Services to ensure compliance with this Agreement. Such audits will be conducted only to the extent necessary to verify that your use of the Services adheres to this Agreement.
Information obtained during audits will be treated confidentially and shared or processed internally only as needed to determine whether your use of the Services complies with this Agreement. We may share information from audits with third parties solely when necessary to pursue claims against you as a Customer.
7. Faults and Issues with the Services
The Services are provided “AS IS.” Users acknowledge that the Services may have faults, bugs, downtime, and may occasionally be unavailable or unable to fulfill their intended purposes.
Customers may cancel their purchase if they experience persistent issues with core aspects of the Services, rendering the Service useless to the Customer.
Customers are entitled to a reasonable price reduction for any Services that are significantly diminished in value for an extended period due to faults, bugs, or downtime. Price reductions cannot be claimed for more than 14 days prior to Conclude being notified of the issue. Please see paragraph 14 regarding Limitation of Liability.
8. Intellectual Property Rights
This Agreement does not grant Customers or Users any intellectual property rights to the Service, documentation, trademarks, or any other related assets.
Customers and Users may not modify, copy, license, resell, or otherwise control the Service or other intangible assets owned by Conclude or our suppliers, unless explicitly agreed upon in writing with Conclude.
In addition to adhering to mandatory legislation, Customers and Users shall not engage in or attempt any reverse engineering of the Service, in accordance with the Norwegian Copyright Act (“Åndsverksloven” 39 i).
9. Customer Breach
Customers using the Free Plan: If the Customer no longer complies with the Free Plan requirements, see the Plan FAQs on conclude.io/pricing, they must upgrade to the Conclude Pro or cease using Conclude immediately. In this case, a continuous use of our services constitutes a breach of this Agreement.
Customers using any Paid plan: If the Customer fails to pay the invoice by the due date, as outlined in their Order Confirmation, Conclude may revoke the Customer’s access to the Service. If Conclude cancels the Agreement, the Customer remains responsible for overdue payments, and previously paid fees will not be refunded.
Upon a breach, Conclude reserves the right to suspend the Customer’s or User’s access to the Service or specific parts thereof until the breach has been resolved or rectified.

12. Unacceptable Use
You may not (directly or indirectly) use the services in a manner that:
– violates Conclude’s Privacy Policy;
– infringes upon an individual’s privacy rights under the EU General Data Protection Regulation (GDPR) (found here: https://ec.europa.eu/info/law/law-topic/data-protection/reform/rights-citizens_en);
– is threatening, harassing, abusive, stalking, or defamatory;
– is false, deceptive, misleading, or fraudulent;
– invades another person’s privacy or otherwise violates another person’s or company’s legal rights (e.g. rights of privacy and publicity);
– contains vulgar, indecent, obscene, or unlawful material;
– infringes on a third party’s intellectual property right(s);
– publishes, uploads, or otherwise distributes any material protected by intellectual property laws (or by rights of privacy or publicity) without the necessary rights and consents;
– uploads corrupted files, files containing viruses, or any other software or programs that may damage the operation of the service or another’s computer;
– downloads any file that you know or reasonably should know cannot be legally distributed in such a manner;
– falsifies or deletes any information regarding the origin or source of software or other material contained in an uploaded file;
– restricts or inhibits any other User of Conclude’s Services from using and enjoying the service;
– scrapes or otherwise collects information about other Users, including e-mail addresses, without their consent;
– is legally actionable between private parties;
– compromises the security of Conclude’s Services;
– is aimed at accessing data not intended for You;
– attempts to probe, scan, or test the vulnerability of any of Conclude’s Services or breach security or authentication measures without authorization;
– violates good faith use of the service; or
– violates any applicable local, state, national, or international law or regulation.
If we suspect a violation of the Terms of Service, Conclude reserves the right to temporarily block the affected Customer’s account, ban the suspected responsible User(s), and freeze any potential subscription while investigating the violation. We further reserve the right to refuse access to the Service for Users and Customers who repeatedly or severely violate these Terms.
We encourage all Users of our Services to help us maintain the quality of the product by reporting (e.g., to hello@conclude.io any knowledge or suspicion of unacceptable use (as outlined above) or use that violates the intended purpose of the Services.
13. Disclaimer for AI-Generated Content
Conclude utilizes artificial intelligence (AI) to process text, including but not limited to generating summaries and translating text. It is important to note that as AI technology is continuously evolving, there may be occasions when the text generated by our AI integrations is not precise. Although we make every effort to deliver accurate responses, we cannot guarantee these and encourage you to inform us of any issues you may encounter.
14. Limitation of Liability
Conclude is not liable for any loss or damage, including data loss, arising from errors or other circumstances related to the Service, beyond direct losses resulting from Conclude’s breach of the Agreement, subject to the limitations of liability below.
Customers or Users cannot claim compensation for indirect losses. Indirect losses include, but are not limited to, loss of profits, revenue, anticipated savings, goodwill, loss of or damage to data, loss caused by production interruption, disruption of Service use, or third-party claims (except those based on infringement of third-party intellectual property rights). If Conclude is found liable for any losses incurred by the Customer or User in connection with this Agreement, Conclude’s total liability for damages in a calendar year shall be limited to 25% of the annual invoiced amount, excluding VAT.
15. Termination of Service
We reserve the right to modify, discontinue, or restrict the use of our Free Plan (or any other Free Services) at any time without prior notice. For Customers on the Free Plan (or any other Free Services), we may terminate or deactivate your access to Conclude due to inactivity after 60 days. For Customers on Conclude Starter and Conclude Pro with expired renewal dates, we may terminate or deactivate the account after 60 days.
It is the Customer’s responsibility to download or back up all information related to Conclude before any termination occurs. We are not responsible for providing access to such data to Users after the termination of the Service.

17. Customer Data
Customer data will be treated with the utmost confidentiality and will only be used by Conclude to fulfill its obligations to the Customer or to monitor the Customer’s use of the Services as described above.
18. Governing Law & Venue
The agreement is governed by Norwegian law. Any disputes arising from this Agreement shall be resolved through negotiation. Oslo District Court is designated as the venue.
